PISCATAQUIS PUBLIC HEALTH COUNCIL BY-LAWS

Article I: Name
The name of the organization shall be the Piscataquis Public Health Council (PPHC), hereafter referred to as the “PPHC”.
Article II: Purpose
The mission statement of the PPHC is:
The PPHC, a coalition of community organizations, schools, and individuals, strives to develop an environment that supports a healthy life through education, prevention, advocacy, and services.
It was created to lower the incidence of tobacco-related chronic disease by reducing tobacco use, increasing physical activity and improving proper nutrition among citizens of Piscataquis County and the Dexter and Corinth areas. Its intent is to institute long-term change that supports health. It includes a partnership with all six local school districts (MSAD # 4, 41, 46, 68, 64 and Union 60), Charles A. Dean Memorial Hospital, and Mayo Regional Hospital.
The PPHC will enact specific actions and undertake projects to further its goals. PPHC members shall invest their time and, as appropriate, their resources to help implement these actions and projects.
Article III: Dissolution
The PPHC is not organized, nor shall it be operated, for pecuniary gain or profit, and it does not contemplate the distribution of gains, profits, or dividends to its members and is organized solely for nonprofit purposes. No part of the PPHC’s profits or net income shall ever inure to the benefit of any director, officer, or member thereof, or to any individual. Upon the dissolution of the PPHC, all debts and liabilities of the PPHC will be paid or a provision will be made to pay them. Remaining unspent assets shall be returned to their respective funders. Remaining funds after returning grant and contract funds shall be distributed to the community in a method that promotes health.
Article IV: Executive Steering Committee
The purpose of the Executive Steering Committee is to set the policies, approve contracts, and to be responsible for significant decisions affecting the PPHC. It serves as the governance and accountability body for the PPHC and will meet bi-monthly or as needed.
Membership shall consist of at a minimum the two founding partners and a minimum of two representatives from the partnering School Administrative Units: Mayo Regional Hospital, C.A. Dean Hospital, MSAD 4, 41, 46, 68, and 64 Union 60. The Executive Steering Committee, by unanimous vote of members present at any regular meeting, may appoint a member to the Executive Steering Committee in accordance with other provisions set forth in this article.
Article V: Task Forces
Members of the PPHC may create or join existing task forces that are working on issues and projects relevant to its mission.
Article VI: Membership of PPHC
Membership in the PPHC is open to any individual or organization that agrees with the mission statement. Membership includes the Executive Steering Committee, task force members, and the community at large. Members participate in task forces working on specific projects, based on skills, interest inventory, and the PPHC objectives. Membership meets bi-monthly or as needed. It requires no membership fees.
Article VII: Administration of the PPHC
Section 1. Administrative Contracts
The PPHC currently has a contract with Maine Department of Health and Human Services, Maine Center of Disease Control and Prevention. The PPHC has a full-time Community Partnership Director who serves as personnel for the PPHC and creates and implements the work plan. The Executive Steering Committee may decide to hire additional staffing dependent upon the requirements of the work plan. Under this contract, it has a subcontract with a minimum of one local school system, and that school system hires a School Health Coordinator to implement the School Health Coordination section of the Work plan. The PPHC may create other subcontracts and apply for other funding as needed to fulfill its goals and objectives.
Section 2. Fiscal year
The fiscal year of the PPHC will begin on July 1 and end on June 30.
